1. Acceptance of Terms

By accessing or using this website and any associated products, you agree to be legally bound by these Terms and Conditions of Use, all applicable laws, and any relevant local regulations. If you do not accept these terms in full, you are strictly prohibited from using or accessing this website or any associated services. All content on this website is protected under applicable copyright and trademark laws.

2. License Terms

SheetsPilot is distributed under the GNU General Public License v3 (GPLv3). This is the sole governing license for all code-based components of the plugin unless explicitly stated otherwise. Non-code assets (branding, UI/UX design, documentation) are covered separately under Section 15 (Intellectual Property).

License tiers, site activation limits, and pricing are as shown on our pricing page at https://sheetspilot.ai. License duration is either annual (365 days) or lifetime, depending on the plan purchased.

3. AI Features and Third-Party AI Services

SheetsPilot includes AI-powered bulk-editing features, including text generation, SEO fields, and image generation (featured images, thumbnails, product visuals) that connect to the OpenAI API using an API key you provide and control.

  • Your own API key: You are responsible for obtaining, securing, and funding your own OpenAI API key. All usage costs charged by OpenAI are your responsibility, not ours.
  • No warranty on AI output: AI-generated content (text, edits, or suggestions produced through the Plugin) may be inaccurate, incomplete, or unsuitable for your purposes. You are solely responsible for reviewing and approving any AI-generated content before publishing it to your website.
  • Third-party terms: Your use of AI features is also subject to OpenAI’s own terms of service and usage policies. We are not a party to, and accept no liability for, the data exchange between your WordPress installation and OpenAI’s servers.
  • Data handling: As described in our Privacy Policy, we do not store, access, or transmit your API key or AI-processed content through our servers.

4. Limitation of Liability

In no event shall SheetsPilot, Unlimited Elements, Studio Keren Aga LTD, or any affiliated licensors, partners, or suppliers be held liable for any direct, indirect, incidental, or consequential damages (including, but not limited to, loss of data, profit, or business interruption) resulting from the use of or inability to use the website or related products, even if SheetsPilot or an authorized representative has been notified of the possibility of such damages. This includes damages arising from AI-generated content produced through the Plugin. Jurisdictions that do not allow the exclusion of certain warranties or limitations of liability may not be subject to the above limitations.

5. Content Accuracy and Revisions

The materials presented on the SheetsPilot website may contain typographical, technical, or visual inaccuracies. SheetsPilot makes no representations or warranties regarding the completeness, accuracy, or currentness of the content provided. All content is subject to change at any time without prior notice. SheetsPilot is under no obligation to update the materials.

6. Software Updates

Active license holders are entitled to receive software updates, including new versions and branches, for the duration of their license. Updates can be downloaded through the plugin’s dashboard or the private login area on the SheetsPilot website. License durations are either 365 days or lifetime, depending on the specific license purchased.

7. Technical Support

We provide technical support for SheetsPilot during the validity period of your license. Support is limited to issues directly related to the SheetsPilot plugin and does not extend to third-party services such as OpenAI, your hosting provider, or other WordPress plugins and themes. Users must submit support requests through the official support channel available on our website. Support is offered free of charge for the entire duration of your active license.

8. Refund Policy

We offer a 30-Day Money-Back Guarantee. If you encounter a critical issue that renders the plugin unusable and our support team is unable to resolve it within a reasonable timeframe, you may be eligible for a full refund. Refunds are issued at the sole discretion of SheetsPilot and must be requested within 30 calendar days of purchase. Refunds do not cover third-party costs you have already incurred, such as OpenAI API usage charges.

9. Renewals and Refunds on Renewals

There are no refunds on subscription renewals. You will receive a renewal notification in advance, giving you time to cancel before the renewal is processed. If you do not cancel on time, no refund will be issued. The refund period described in Section 8 applies only to new purchases, not renewals.

10. Affiliate Program Terms

Affiliates may only maintain one account. At the end of each month, affiliates are required to issue and submit an invoice to be eligible for payout. Payments are made only when the balance reaches a minimum of $100. If an invoice is not provided, the payout will be reset, and no balance will be carried forward. The sole payment method available for affiliate payouts is PayPal.

11. Changes to Terms

SheetsPilot reserves the right to modify or update this Terms of Service and License Agreement at any time, without prior notice. Continued use of the website or products constitutes acceptance of any revised terms.

12. Ownership and Legal Entities

SheetsPilot is a product of the same company that owns and operates Unlimited Elements, fully owned and operated by the following entities:

  • Studio Keren Aga LTD
  • Maxim Vendrov, Licensed Dealer

Both entities are legally recognized and jointly represent the SheetsPilot and Unlimited Elements brands.

13. Prohibited Uses

You agree not to use the website, products, or services:

  • For any unlawful purpose or activity.
  • To reverse-engineer, decompile, or otherwise attempt to extract the source code of the plugin or any part thereof, unless explicitly permitted under the GPL.
  • To infringe on or violate our intellectual property rights or the rights of others.
  • To interfere with or disrupt the security, integrity, or performance of our website or services.
  • To use AI features to generate unlawful, infringing, or harmful content.
  • To sublicense, resell, or redistribute the plugin without prior written consent.

14. Termination of License

We reserve the right to terminate your license and access to services without notice if you violate any of these Terms. Upon termination, your right to use the software and access updates or support will immediately cease.

15. Intellectual Property

All branding, graphics, UI/UX elements, documentation, and non-code content provided with SheetsPilot are the intellectual property of Studio Keren Aga LTD and Maxim Vendrov. These elements are not covered by the GPL license and may not be reused, modified, or redistributed without express permission.

16. No Warranty

The software and all associated services, including AI-powered features, are provided “as is” without any warranties, express or implied. We do not guarantee that the software will be error-free, compatible with all third-party themes and plugins, or that AI-generated output will be accurate or fit for any particular purpose.

17. Indemnification

You agree to indemnify, defend, and hold harmless Studio Keren Aga LTD and Maxim Vendrov from and against any and all claims, liabilities, damages, losses, or expenses, including legal fees, arising out of your misuse of the products, your use of AI-generated content, or violation of these terms.
